1. Introduction

At Casium, Inc. ("Casium", "we", "us", "our"), we are committed to providing exceptional service as detailed in these Terms of Service ("Terms"). Our services, accessible through our website, www.casium.com ("Website"), include a comprehensive suite of tools and support for the preparation of work based visa documents for immigration, specifically designed for high-skilled individuals (our “Services”). By using our Services in any capacity, you acknowledge and agree to these binding Terms. “You” or “User” means you as a user of our Services. 

You must read, agree to, and accept all of the terms and conditions contained in these Terms, as well as any related service agreements or documents, to use our Services. If you do not accept these Terms or any related documents, you must not access or use our Services.

2. Our Services

At Casium, we offer specialized software and support services to aid in the preparation of immigration documents for visa processing. We provide access to expert consultation to navigate the complexities of the document preparation process and offer thorough assistance in preparing and submitting your documents.

Casium is not a law firm and does not provide legal advice or representation, and accordingly, does not provide legal, financial, or other professional advice. We provide services in support of immigration document preparation by qualified attorneys. Any information provided by Casium itself does not constitute legal or other professional advice. Further, we do not review the information you provide us for legal accuracy or sufficiency, or draw legal conclusions. You understand that you are responsible for any actions taken based upon information received from Casium, and where professional advice is needed, that you should seek independent professional advice from a person who is licensed or qualified in the applicable area. Despite our commitment to applying our best efforts and expertise, we must clarify that we cannot guarantee specific outcomes due to the discretionary nature of immigration decisions

Our information on visa applications and processes are subject to change, as the law is rapidly changing. We can not guarantee the information provided is complete or accurate.

3. Our Content

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicenseable license to access and use our Services and view our content (“Our Content”) solely in connection with your permitted use of our Services. For the purposes of these Terms, Our Content shall include all text, graphics, images, site and screen layouts, arrangements and themes, music, software, audio, video, works of authorship by us or our affiliates of any kind, and information or other materials that are posted or generated by us or our affiliates.

You have the right to view and access Our Content. However, you may not copy, borrow, modify, or otherwise reproduce, and must immediately cease using, copying, borrowing, modifying, or otherwise reproducing any site and screen layouts, arrangements and themes provided through this Service. At no time is any User permitted to: (i) transfer, sublicense, sell, lease, lend, rent, or otherwise distribute Our Content or the Services to a third party; (ii) decompile, reverse-engineer, disassemble, or create derivative works of the Services or any Our Content; or (iii) use the Services or Our Content in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms. 

Any rights not expressly granted herein are reserved by Casium and, if applicable, Casium’s licensors. You agree that you will not use Casium’s copyrights, trademarks, service marks, or trade dress, aside from use incidental to your use of the Services, without express, written permission from Casium. This prohibition includes use in domain names, websites, and social media accounts.

4. Accessing Our Services

User Accounts. In order to use our Services, you may have the option to register for and maintain an active personal user account (“Account”). Unless a specific Service provides otherwise: (i) you must be at least 18 years of age, or the age of legal majority in your jurisdiction (if different than 18), to obtain an Account, (ii) you may only possess one Account and (iii) you may not assign or otherwise transfer your Account to any other person or entity. Casium maintains the right to delete or deactivate duplicate accounts. You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account credentials at all times.

You cannot register for or maintain an Account if you have previously been banned from accessing or using the Services. Account registration may require you to submit to Casium certain personal information, such as your name, address, mobile phone number and age, as well as at least one valid payment method that you are authorized to use and is supported by Casium (“Account Information”). You are responsible for providing accurate Account Information and in certain instances, you may be asked to provide proof of age, identity or other method of identity verification to access or use the Services. You may be denied access to, or use of, the Services if you refuse to provide (or we are unable to verify) proof of age, identity, or other method of identity verification. Additionally, you authorize your wireless carrier to use or disclose information about your account and your wireless device, if available, to Casium or its service providers for the duration of your business relationship, solely to help Casium identify you or your wireless device and to prevent fraud.

Casium may disable or delete your account if after registration your account is not confirmed (where applicable), your account is unused and remains inactive for an extended period of time, if we detect someone may have used it without your permission and we are unable to confirm your ownership of the account, or where we are required to do so under applicable law. To the maximum extent permitted by applicable law, Casium and its affiliates assume no liability for such loss of access and use and will have no obligations related to such loss. If you discontinue your use of our Services, or we disable your access to or use of the Services, these Terms shall terminate as an agreement between you and us with respect to those Services, but sections that by their nature are intended to survive termination shall so survive.

5. Fees and Payments

Our service fees are subject to the type of service requested and are denominated in U.S. dollars. Payment is due at the time of the service request, unless an alternative arrangement is specified in the applicable service agreement.

6. Termination and Modification

By accessing or using our Services, you confirm your agreement to be bound by these Terms. If you do not agree to any of these Terms, do not access or use our Services.

Termination. Casium, in its sole discretion, may immediately terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason. 

Modification. You will only be bound by modifications or supplements to these Terms on your acceptance, but if you do not agree to them, you may not be allowed to use or access our Services. Such modifications or supplements may be provided to you only via electronic means. From time-to-time we may modify information hyperlinked in these Terms (or the addresses where such information may be found) and such modifications shall be effective when posted.

7. User Responsibilities

You agree to comply with all applicable laws when accessing or using our Services, and you may only access or use the Services for lawful purposes. You may not access or use the Services to cause nuisance, annoyance, inconvenience, damage, or loss to Casium or any other party.

As a user, you are expected to provide accurate, current, and complete information necessary for the effective use of our Services. The security of your login information and the activity occurring under your Account rest solely with you.

8. Feedback

We welcome feedback, comments, and suggestions for improvements to our Services. You can submit feedback by emailing us at the contact email listed above. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable, and transferable license under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon, and otherwise exploit the feedback for any purpose.

9. Data Collection and Privacy Policy

All data entered or provided by the users shall be deemed (‘User Data”) by using our services you give us a license to use your User Data for purposes of delivering our Services. In providing our Services, we collect personal and other types of data from our users. This collection, usage, and storage of data are guided by our Privacy Policy, ensuring transparency and security. 10. Links and Advertisements of Third-Party Websites or Resources

Our Services may contain links to or advertisements of third-party websites (that are not affiliated with you or other Members) or resources. We are not responsible for the content, products or services on or available from those advertisements, websites, resources or links displayed on such sites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.

11. Disclaimers and Limitation of Liability

Disclaimer. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CASIUM DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN ADDITION, CASIUM MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE REQUESTED OR OBTAINED FROM THIRD-PARTY PROVIDERS IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

Limitation of Liability. Casium shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of the Services, even if Casium has been advised of the possibility of such damages.  

IN NO EVENT WILL OUR TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES OR CONTENT EXCEED THE AMOUNTS YOU HAVE PAID TO CASIUM FOR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CAUSE OF ACTION. 

The limitations and disclaimers in this section do not propose to limit liability or alter your rights as a consumer that cannot be exclude under applicable law. Because some jurisdictions do not allow the exclusion of or the limitation of liability for consequential or incidental damages, in such jurisdictions, Casium’s liability shall be limited to the extent permitted by law. This provision shall have not effect on Casium’s choice of law provision set forth below.

12. Indemnity

You agree to indemnify and hold Casium and its affiliates and their officers, directors, employees, and agents harmless from and against any and all actions, claims, demands, losses, liabilities, costs, damages, and expenses (including attorneys’ fees), arising out of or in connection with: (i) your use of our Services; (ii) your breach or violation of any of these Terms; (iii) your violation of the rights of any third party; or (iv) any third-party intellectual property infringement claims resulting directly from your modification or alteration of the Deliverables and/or Services.

13. Dispute Resolution

We prefer to resolve things amicably when possible; therefore, you agree to the following dispute resolution policy in connection with any potential claims or disputes arising from your use of our Services. Start by notifying us of your dispute by sending a notice to the contact email address listed above. 

Informal Negotiations: Parties to a dispute concerning these Terms, the Privacy Policy, or the use of the Services will attempt to informally negotiate a potential settlement or resolution to the dispute.

Arbitration: In the event that informal negotiations are unsuccessful, the parties agree to follow the arbitration procedures set forth by the American Arbitration Association (AAA) to resolve the dispute.

Binding Arbitration: If for any reason arbitration is unsuccessful or unavailable to the parties, parties agree to submit to binding arbitration in the jurisdiction of the State of Washington. Each of us is responsible for paying our own filing, administrative and arbitrator fees. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

14. Miscellaneous

Governing law; Venue. The Parties shall make a good-faith effort to amicably settle by mutual agreement any dispute that may arise between them under this Agreement. The foregoing requirement will not preclude either Party from seeking injunctive relief as it deems necessary to protect its own interests. The Agreement will be construed and enforced in accordance with the laws of the State of Washington, excluding its choice of law rules. The Parties hereby consent to the exclusive jurisdiction of the state and federal courts located King County, Washington State and expressly waive any objections or defense based upon lack of personal jurisdiction or venue.

Assignment. You shall not assign any rights of this Agreement or any other written instrument related to the Services and/or Deliverables provided under this Agreement, and no assignment shall be binding without the prior written consent of CASIUM. Subject to the foregoing, this Agreement will be binding upon the Parties’ heirs, executors, and successors. 

Severability. The Parties recognize the uncertainty of the law with respect to certain provisions of this Agreement and these Terms and expressly stipulate that this Agreement will be construed in a manner that renders its provisions valid and enforceable to the maximum extent possible under applicable law. To the extent that any provisions of this Agreement and these Terms are determined by a court of competent jurisdiction to be invalid or unenforceable, such provisions will be deleted or modified so as to make them enforceable and the validity and enforceability of the remainder of such provisions and of these Terms will be unaffected.

Force majeure. Neither Party shall be liable for any failure to perform under this Agreement when such failure is due to causes beyond that Party’s reasonable control, including, but not limited to, acts of state or governmental authorities, acts of terrorism, natural catastrophe, fire, storm, flood, earthquakes, accident, and prolonged shortage of energy. In the event of such delay the date of delivery or time for completion will be extended by a period of time reasonably necessary by Casium. If the delay remains in effect for a period in excess of thirty days, Casium may terminate this Agreement immediately upon written notice to you.
